Hereinafter referred to as “prokodo” or the “Provider”.
1. Scope and Contracting Party
- “prokodo” is the business name of the sole trader Christian Salat and is not a separate legal entity.
- These Terms and Conditions apply to paid digital website-analysis services ordered through prokodo's United States commercial market, in particular the Website Potential Analysis / Paid Website Audit.
- These Terms apply to both individual consumers and business customers.
- A “Consumer” for the purposes of these Terms is an individual purchasing primarily for personal, family or household purposes.
- A “Business Customer” is a person or organisation purchasing primarily for commercial, business, trade or professional purposes.
- Whether a customer qualifies as a Consumer or Business Customer is determined by the primary purpose of the transaction and applicable law. No separate buyer-type declaration is required during checkout. Mandatory consumer rights are not affected by the absence of such a declaration.
- Orders placed through prokodo's Germany commercial market are governed by the separate Terms and Conditions applicable to that market.
- Individual agreements, specific service descriptions shown during checkout or separately agreed offers take precedence over these Terms to the extent they expressly provide otherwise.
2. Market Eligibility and Price Information
- The United States commercial market is intended for customers whose billing country is the United States.
- prokodo may reject or discontinue an order placed through the United States commercial market if payment or billing information shows that the order is not eligible for that market. In such a case, no final charge will be made where the payment has not yet been captured.
- Prices for the United States commercial market are displayed in U.S. dollars unless expressly stated otherwise.
- Applicable taxes, if any, are calculated or displayed during checkout. The total amount displayed in Stripe Checkout before the customer submits the payment is decisive.
3. Subject Matter of the Contract

The subject matter of the contract is a one-time digital Website Potential Analysis for a website, domain or URL specified by the customer.

prokodo creates a digital report containing analysis results generated automatically and with AI support.

The report may in particular include:
-prioritised findings,
-summary / Decision Summary,
-recommendations for action,
-Work Orders,
-implementation prompts,
-code, markup or configuration examples,
-acceptance criteria,
-verification guidance,
-roadmap or backlog items,
-export or copy functions where included in the booked package. -
The report serves as a decision-making and implementation aid.

It is not legal advice, tax advice, an expert opinion guaranteeing success, a complete technical due-diligence review, a penetration test, a certified accessibility audit or an agency service involving manual implementation.

The analysis reflects the technically retrievable state of the specified website at the time of analysis.
4. Scope of the Basic Website Potential Analysis

Unless expressly stated otherwise during checkout, the Basic Website Potential Analysis includes:
-a digital Basic Website Audit for one specified website, domain or URL,
-an in-depth analysis of up to 15 selected pages that can be technically discovered and retrieved,
-supplementary site-wide checks of additional technically discoverable URLs where provided for by the analysis method and technically possible,
-technical, SEO, performance, accessibility, content, UX and conversion-oriented analysis,
-prioritised findings,
-report summary / Decision Summary,
-P1/P2 Work Orders where corresponding findings exist,
-implementation prompts,
-code, markup or configuration examples where useful and safe,
-acceptance criteria and verification steps,
-online access to the report for 12 months from provision. -
An individual full review of every URL discovered on the website is not owed.

prokodo may use external services and technical analysis tools, including crawling, HTML evaluation, proprietary rules, PageSpeed/Lighthouse/PSI data, AI models and comparable analysis methods.

The scope, content, weighting and level of detail of the report may vary depending on the website, technical accessibility, available data and package scope.

A report may be contractually deliverable even where individual pages, content, metrics or analysis areas could not be processed technically or in full, provided that the report as a whole contains the essential analysis results and recommendations within the booked product scope in a usable form.

There is no entitlement to analysis of every individual URL or detection of every error, risk or optimisation opportunity.
5. Services Not Included and Product Limitations
Unless expressly agreed otherwise, the following are not included:
- ongoing support,
- personal consultation calls,
- manual implementation of recommendations,
- re-analysis,
- ongoing monitoring,
- permanent archiving,
- a complete SEO audit,
- a complete performance audit,
- a complete accessibility audit,
- a complete security audit,
- a complete privacy or legal review,
- a complete code review,
- review of legal notices, privacy policies, cookie banners, contractual terms, competition law or sector-specific legal obligations,
- any guarantee of rankings, Core Web Vitals, conversion rate, traffic, revenue or accessibility compliance,
- project-management, agency or development services,
- unlimited report access,
- future features not expressly included in the booked product.
prokodo does not guarantee that every subpage, error, potential issue, technical characteristic or legal risk of a website will be identified.
Recommendations may require adaptation to the customer's specific CMS, framework, hosting setup, plugins, theme or technical project environment.
Code examples, prompts and implementation guidance are generic aids and must be professionally reviewed, adapted and tested before production use.
6. Online Checkout and Contract Formation
- The presentation of the Website Potential Analysis on prokodo's website does not constitute a legally binding offer by prokodo but an invitation to place an order.
- The customer provides the information required for the analysis and order, including the website or domain to be analysed and any required contact, billing or company information.
- Before being redirected to Stripe Checkout, the customer is provided with access to:
-these United States Terms and Conditions,
-the United States Refund & Cancellation Policy,
-the Privacy Policy. - By selecting the button to continue to secure payment, the customer agrees to these Terms and the Refund & Cancellation Policy and acknowledges the Privacy Policy.
- The customer is then redirected to Stripe Checkout.
- Immediately before submitting payment, the customer is shown the booked product, total amount payable, applicable taxes, if any, payment method and other material transaction information.
- By submitting the payment through Stripe Checkout, the customer submits a binding offer to conclude the contract.
- The contract between the customer and prokodo is concluded when:
a. Stripe Checkout has been successfully completed; and
b. the payment has been successfully authorised. - If the payment cannot be authorised or Checkout cannot be successfully completed, no contract is concluded and the paid analysis is not started.
- After contract formation, prokodo sends an electronic order or contract confirmation to the email address provided by the customer. The confirmation may include or link to the applicable Terms, Refund & Cancellation Policy and other material order information.
- The contract is exclusively between the customer and Christian Salat, trading under the business name prokodo. Stripe is the payment service provider and is not the provider of the Website Potential Analysis.
7. Start of Performance and Report Delivery
- The analysis begins automatically after successful completion of Stripe Checkout and confirmed payment authorisation.
- The analysis may therefore begin immediately after payment authorisation.
- Following successful creation, the report is stored in final form, personal report access is set up and the personal report link is sent to the email address provided by the customer.
- The service is deemed provided once:
a. a contractually deliverable report has been created in final form;
b. personal report access has been established; and
c. the personal report link has been sent to the email address provided by the customer. - A contractually deliverable report may also be provided where individual pages, content, metrics or analysis areas could not be evaluated technically or in full, subject to the requirements described in Section 4.
- Report generation is generally automated and may take several minutes or longer depending on the scope of analysis, technical accessibility, workload and availability of third-party services.
- No specific completion time is guaranteed unless expressly agreed.
- If no contractually deliverable report can be created, the authorised amount will not be finally captured by prokodo. The authorisation will be cancelled or released where technically possible.
- If a charge has exceptionally already been captured despite no contractually deliverable report having been produced, the affected amount will be refunded.
8. Report Access
- Personal online access to the report is provided for 12 months from delivery.
- During this period, the customer may open, print, internally store and copy the report and use it in accordance with the rights granted under these Terms.
- After the 12-month period, online access may be deactivated.
- Deactivation does not necessarily result in immediate deletion of all report, contract, payment or evidence data.
- The customer is responsible for saving any copy of the report required after the online-access period.
- A new analysis, update, continuous monitoring or permanent archiving is not included in the one-time purchase.
9. Prices, Taxes, Payment Authorisation and Payment Documents
- The price shown immediately before the order is submitted applies.
- Prices for the United States commercial market are denominated in U.S. dollars unless expressly stated otherwise.
- Applicable taxes, if any, are calculated and displayed during checkout according to the billing and tax information available to the payment and tax systems.
- The total amount displayed in Stripe Checkout before the order is submitted is decisive.
- Payment is processed through Stripe Checkout using the payment methods expressly offered there.
- After successful Checkout, the payment amount is initially authorised or reserved. prokodo does not finally capture the amount at that point.
- The final charge is made only after a contractually deliverable report has been created and personal report access has been established.
- The authorisation may appear on the customer's card or bank account as a pending transaction or temporary reservation.
- If no contractually deliverable report can be created, the amount is not finally captured and any existing payment authorisation is released or allowed to expire in accordance with the payment provider's procedures.
- Electronic invoices, receipts or other payment documents may be provided after successful capture.
- The customer must provide accurate billing and tax information.
10. Customer Obligations
- The customer may submit only websites, domains or URLs that the customer is authorised to have analysed or whose analysis is otherwise legally permissible.
- The customer may not submit URLs where analysis would infringe third-party rights, unlawfully circumvent security measures, violate applicable law, facilitate unlawful activity or otherwise constitute abuse.
- The submitted website must generally be publicly accessible without credentials, login, CAPTCHA, IP allowlisting or comparable access restrictions.
- The customer must not provide credentials for protected or internal areas unless separately agreed.
- Websites or areas containing sensitive personal information, children's data or extensive patient, applicant, employee or similarly sensitive information may be submitted only after prior consultation with prokodo.
- The customer must provide accurate contact, billing, company and payment information.
- The customer remains responsible for professional and technical review before implementing recommendations.
- Report links and access tokens must be treated as confidential.
11. AI and Automated Analysis
- The analysis and creation of the report are carried out wholly or partly automatically using rule-based analysis methods and AI-supported systems.
- An individual manual review of every report by a prokodo employee is not included unless expressly agreed.
- AI-generated content may contain errors, inaccuracies, incomplete conclusions or recommendations that require adaptation.
- The report is a decision-making and implementation aid and does not constitute binding professional, legal or tax advice.
- Code examples, prompts and implementation guidance must be reviewed, adapted and tested before production use.
12. Technical Problems, Non-Conforming Delivery and Mandatory Rights
- Mandatory statutory rights that cannot legally be excluded remain unaffected.
- In the event of technical problems with report access, the customer may contact:

https://www.prokodo.com/en/support/ - prokodo may remedy technical delivery errors, display errors or access problems.
- A report is not defective merely because the customer, another consultant, a search engine, a tool or another service provider evaluates a recommendation differently.
- The report reflects the state of the analysed website at the time of analysis. Later changes to the website, search engines, browsers, APIs, standards, tools, third-party services or legal frameworks are not automatically reflected.
- Refunds and cancellations are additionally governed by the United States Refund & Cancellation Policy.
13. Cancellation and Refunds
- The analysis is a personalised digital service that begins automatically after successful payment authorisation.
- There is no general EU-style statutory 14-day withdrawal procedure for orders governed by these United States Terms.

https://www.prokodo.com/en/us/refund-and-cancellation-policy/ - Nothing in these Terms or the Refund & Cancellation Policy excludes any non-waivable consumer right or remedy provided by applicable law.
14. Intellectual Property and Rights of Use
- prokodo retains all rights in its software, analysis methods, templates, report structure, design, text modules, methods, trademarks, workflows and other proprietary content.
- The customer receives a non-exclusive and non-transferable right to use the report created for the customer for the customer's own internal purposes.
- The report may be shared internally and with commissioned developers, agencies, advisers or service providers where necessary to implement the recommendations.
- Without prokodo's express permission, the customer may not:
-publicly publish the full report,
-resell it,
-offer it as a white-label product,
-reverse engineer prokodo's analysis methods,
-use it to build or train a competing product,
-automatically extract or evaluate it on a mass scale. - The customer retains all rights in the customer's website, content, trademarks and data.
- The customer grants prokodo the rights required to process submitted URLs, content and other data for the analysis, report creation, provision and performance of the contract.
15. Privacy and Data Processing
- Information on the processing of personal data is provided in prokodo's Privacy Policy:
https://www.prokodo.com/en/privacy-policy/ - In connection with an order and analysis, prokodo may process contact, billing, payment, tax, market, website, technical-analysis, report and delivery data as described in the Privacy Policy.
- Payment data is processed through the payment service provider used for Checkout.
- Hosting, email, payment, AI, search, analysis and other technical service providers may be involved in performing the service.
16. Availability and Technical Limitations
- prokodo seeks to provide reasonable availability of report access during the access period.
- 100% uninterrupted availability is not guaranteed.
- Maintenance, security updates, technical failures, hosting or network issues, third-party outages, force majeure or attacks may affect availability.
- Where a lasting technical problem attributable to prokodo prevents the agreed service from being provided, prokodo will provide an appropriate remedy, such as renewed access, alternative delivery or a refund where required.
17. Abuse, Suspension and Rejection
prokodo may reject, suspend or terminate an analysis or report access where there are reasonable indications of abuse, unlawful use, security risks, infringement of third-party rights, manipulation, excessive technical load, inaccurate information or another legitimate reason.
Where no contractually deliverable report is produced and payment has not been captured, the payment authorisation will be released in accordance with the payment process.
18. Exports and Third-Party Tools
The report may contain copy functions, prompts, code examples, backlog or roadmap data and integrations or export functionality.
Exports to third-party services such as Jira, GitHub, Linear, MCP or future integrations may be subject to additional terms and privacy information.
Functions not expressly included in the product description or checkout are not part of the purchased service.
19. Future Services
prokodo may offer future services such as re-checks, monitoring, subscriptions, credits, integrations, pull-request creation or implementation support.
Those services are not included in the current one-time purchase unless expressly booked.
20. Warranties, Disclaimers and Liability
- The Website Potential Analysis is based on automated and AI-supported analysis of technically accessible information and is subject to the limitations described in these Terms.
- prokodo does not warrant that every issue, risk, opportunity, page or technical characteristic will be detected.
- prokodo does not guarantee any particular ranking, traffic, revenue, conversion rate, Core Web Vitals result, accessibility status or other business outcome.
- To the maximum extent permitted by applicable law, prokodo is not liable for losses resulting from recommendations being implemented without appropriate professional review or being implemented incorrectly, incompletely or in an unsuitable technical environment.
- To the maximum extent permitted by applicable law, liability for ordinary negligence is limited to foreseeable losses typical for the contractual relationship where such limitation is legally permissible.
- prokodo is not responsible for changes or decisions by search engines, browsers, third-party tools, APIs, hosting providers, CMS systems or other third parties outside prokodo's reasonable control.
- Nothing in these Terms excludes or limits liability or consumer rights to the extent that such liability or rights cannot lawfully be excluded or limited.
21. Refund and Transaction Disclosures
Before payment, the customer is provided access to prokodo's current United States Refund & Cancellation Policy.
The legal name and business address of the Provider are stated at the beginning of these Terms and in the Refund & Cancellation Policy.
22. Contract Language, Applicable Law and Jurisdiction
- The contract language for orders under these United States Terms is English.
- German law applies to the contractual relationship, excluding the United Nations Convention on Contracts for the International Sale of Goods, to the extent that this choice of law is legally effective.
- For Consumers, this choice of law does not deprive the customer of mandatory consumer-protection rights that apply and cannot validly be waived.
- For Business Customers, the courts of Munich, Germany shall have exclusive jurisdiction to the extent that such an agreement is legally permissible.
- For Consumers, nothing in these Terms requires a consumer to bring a claim exclusively in Munich where applicable mandatory law provides another forum or jurisdiction.
23. Versions and Contract Evidence
- The version of these Terms displayed to and accepted by the customer at the time of the order applies to that order.
- prokodo may store the applicable legal-text version, time of acceptance and an immutable or reconstructable copy of the legal documents used for the order for contract-evidence purposes.
- Changes to these Terms do not retroactively amend completed one-time purchases unless required by mandatory law.
24. Final Provisions
- If any provision of these Terms is invalid or unenforceable, the remaining provisions remain unaffected to the extent permitted by applicable law.
- Any mandatory statutory provision takes precedence where it cannot legally be waived.
- Mandatory consumer rights remain unaffected.
